Article 1: Name
This organization shall be known as the “Japanese Society for Coronary Microcirculatory Disorders (J-CMD)”.
Article 2: Secretariat
The Secretariat of this organization shall be located at the Department of Cardiology, Kumamoto University Hospital.
Article 3: Purpose
The purpose of this organization is to generate evidence concerning coronary microcirculatory disorders in Japanese individuals.
Article 4: Activities
To achieve the purpose stated in the preceding article, this Society shall conduct the following activities:
(1) As a general rule, study sessions will be held twice a year.
(2) In conjunction with the above study sessions, management meetings will be held twice a year.
(3) Conduct other activities necessary to achieve the purpose.
Article 5: Membership
The members of this Society shall be as follows:
Members shall be physicians and medical staff who endorse the purpose of this Society.
Article 6: Types and Number
This Society shall have the following officers:
Representative: 1 person
Co-CEO: 1person
Stewards: Several persons
Secretary General: 1 person
Auditor: 1 person
Treasurer: 1 person
Article 7: Duties
Officers of this Association shall perform the following duties:
(1) The President and Co-Presidents shall represent the Association and oversee its affairs.
(2) The Stewards shall form the Stewards' Committee and execute its affairs.
(3) The Secretariat shall handle accounting and liaison duties, and the Auditor shall audit accounting and other matters.
Article 8: Composition of the Stewards' Committee
The Stewards' Committee shall be composed of the Stewards.
Article 9: Operation of the Steering Committee
(1) The Steering Committee is the body handling the affairs of the Association. It shall be convened and chaired by the Representative.
(2) Decisions of the Steering Committee shall be made with the attendance of a majority of the Steering Committee members.
Article 10: Composition
The General Meeting of the Association shall be composed of the members.
Article 11: Operation
The General Meeting shall be convened annually by the Representative, who shall also preside.
The General Meeting shall hear reports on activities, financial statements, and other matters.
Article 12: Fiscal Year
The fiscal year of this Association shall begin on April 1 and end on March 31 of the following year.
Article 13: Expenses
The expenses of this Association shall be covered by grants from the Japan Heart Foundation and donations from sponsoring companies.
Article 14: Membership Fees
The membership fees for this Association shall be determined by the Steering Committee.
Article 15: Financial Statements
The financial statements of this Association shall be prepared by the Representative, audited, approved by the Steering Committee, and reported at the General Meeting.
Article 16: Secretariat
The Secretariat shall handle administrative tasks for the operation of this Association.

Article 17: Documents to be Maintained
The Secretariat shall maintain the following documents:
(1) Bylaws
(2) Minutes of the Steering Committee meetings
(3) Ledgers and supporting documents regarding income and expenditure
Article 18: Amendment of Bylaws
Amendments to the Bylaws of this Society may be made after deliberation by the Steering Committee.
Article 19: Continuation of the Association
The Association shall review its continuation every three years at the Stewards' Meeting.
These Bylaws shall take effect on April 1, 2026.
